1. Introduction and Acceptance of Terms

Welcome to vitalreset.ca (the “Website”), owned and operated by Vital Reset Ltd. (“Vital Reset,” “we,” “us,” or “our”), a corporation incorporated under the laws of Alberta, Canada, with its principal place of business in Camrose, Alberta.

By accessing or using this Website, creating an account, purchasing any products or services, or subscribing to any membership or course offerings, you (“User,” “you,” or “your”) acknowledge that you have read, understood, and agree to be bound by these Terms of Use (“Terms”). If you do not agree to these Terms, you must not access or use the Website or purchase any products or services.

These Terms constitute a legally binding agreement between you and Vital Reset Ltd. We reserve the right to modify these Terms at any time. Changes will be effective upon posting to the Website with an updated effective date. Your continued use of the Website following any changes constitutes acceptance of the revised Terms.

2. Description of Services

Vital Reset provides wellness programs, educational content, and related services, including but not limited to:

  • Qigong with Leaha Memberships: Subscription-based access to live and recorded Qigong classes, wellness content, and community features.
  • Eat by Design Course: A proprietary weight-loss and wellness education program designed to help participants transform their relationship with food through personal and realistic food strategies, tools for managing cravings, and supportive coaching.
  • Vital Reset Mini Packs: Targeted Qigong routines for specific wellness goals.
  • Wellness Retreats: In-person immersive wellness experiences (subject to separate terms and conditions).
  • Gift Cards: Prepaid value for use toward Vital Reset products and services.

3. Eligibility

You must be at least eighteen (18) years of age and possess the legal capacity to enter into binding contracts under Alberta law to use this Website and purchase our products and services. By using the Website, you represent and warrant that you meet these eligibility requirements.

4. Account Registration and Security

To access certain features, including subscription services and course content, you must create an account. You agree to provide accurate, current, and complete information during registration and to update such information to keep it accurate, current, and complete. You are solely responsible for maintaining the confidentiality of your account credentials and for all activities that occur under your account. You must notify us immediately of any unauthorized use of your account.

5. Payment Terms

5.1 Credit Card Authorization and Storage

By purchasing a subscription or the Eat by Design Course, you authorize Vital Reset to securely store your credit card or payment information on file for the purpose of processing all current and future billing payments associated with your account. Vital Reset does not store your credit card information directly on its servers. Your payment card details are securely stored by our third-party payment processor in compliance with Payment Card Industry Data Security Standards (PCI-DSS). Vital Reset uses secure tokenization technology to communicate with the payment processor, meaning your actual card numbers are never transmitted to or stored on our systems. This authorization remains in effect until you cancel your subscription in accordance with Section 6 of these Terms or until you provide written notice of revocation to Vital Reset. You are responsible for ensuring that your payment information remains current and valid.

5.2 Pricing

All prices are displayed in Canadian dollars (CAD) unless otherwise specified. Prices are subject to change without notice; however, any price changes will not affect subscriptions already in effect until the next renewal period. Applicable taxes, including GST, will be added to your purchase total as required by law.

5.3 Payment Processing

Payments are processed through secure third-party payment processors. By providing your payment information, you represent and warrant that you are authorized to use the payment method provided and that all information you provide is accurate and complete.

6. Subscription Terms

6.1 Automatic Renewal

Subscription memberships, including the Qigong with Leaha Membership, automatically renew at the end of each billing period (monthly or annually, as applicable) unless cancelled in accordance with Section 6.2. Your credit card on file will be charged the then-current subscription rate on the renewal date.

6.2 Cancellation Policy

You may cancel your subscription at any time through your account settings on the Website or by contacting us at the email address provided in Section 15. To avoid being charged for the next billing period, you must cancel your subscription at least fifteen (15) days before your renewal date. If you cancel within fifteen (15) days of your renewal date, your cancellation will take effect at the end of the following billing period, and you will be charged for the upcoming renewal.

Upon cancellation, you will retain access to subscription content until the end of your current paid billing period.

7. Refund Policy

7.1 Subscription Services

No refunds will be issued for subscription payments where cancellation was not received at least fifteen (15) days before the renewal date. If you cancel your subscription within the required notice period, you will not be charged for subsequent billing periods but are not entitled to a refund for payments already processed.

7.2 Eat by Design Course

All purchases of the Eat by Design Course are final and non-refundable. Due to the immediate access to digital content and proprietary educational materials provided upon purchase, no refunds, credits, or exchanges will be issued under any circumstances. By purchasing the Eat by Design Course, you acknowledge and agree to this no-refund policy.

7.3 Other Products and Services

Refund policies for Wellness Retreats, Mini Packs, Gift Cards, and other products or services may vary and will be communicated at the time of purchase. Gift Cards are non-refundable and cannot be exchanged for cash.

7.4 Alberta Consumer Protection Act Compliance

These refund terms are provided in compliance with the Consumer Protection Act (Alberta) and associated regulations. For internet sales agreements over $50, you may have additional rights under Alberta law. Nothing in these Terms is intended to limit or exclude any statutory rights that cannot be excluded under applicable Alberta or Canadian law.

8. Intellectual Property Rights

All content on this Website, including but not limited to text, graphics, logos, images, audio and video recordings, course materials, the Eat by Design program, Qigong instruction content, and software, is the property of Vital Reset Ltd. or its licensors and is protected by Canadian and international copyright, trademark, and other intellectual property laws. “Vital Reset” and “Eat by Design” are trademarks of Vital Reset Ltd.

You are granted a limited, non-exclusive, non-transferable, revocable license to access and use the content solely for your personal, non-commercial use in connection with the services you have purchased. You may not reproduce, distribute, modify, create derivative works from, publicly display, or commercially exploit any content without our prior written consent.

9. User Conduct

You agree not to:

  1. Share your account credentials or allow others to access your account;
  2. Download, copy, or distribute course materials or content except as expressly permitted;
  3. Use the Website or services for any unlawful purpose;
  4. Interfere with or disrupt the Website or servers;
  5. Attempt to gain unauthorized access to any portion of the Website;
  6. Engage in any conduct that is abusive, harassing, or harmful to other users or our staff.

10. Health and Wellness Disclaimer

The content and services provided by Vital Reset, including Qigong instruction and the Eat by Design Course, are for general informational and educational purposes only. They are not intended to be a substitute for professional medical advice, diagnosis, or treatment.

Always consult with a qualified healthcare provider before beginning any new exercise program, dietary changes, or wellness regimen, especially if you have any pre-existing medical conditions, injuries, or health concerns. You acknowledge that participation in any wellness program involves inherent risks, and you assume full responsibility for your participation.

Vital Reset makes no representations or warranties regarding the effectiveness of any program or the results you may achieve. Individual results may vary.

11. Limitation of Liability

To the maximum extent permitted by applicable law, Vital Reset Ltd., its directors, officers, employees, agents, and affiliates shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including but not limited to loss of profits, data, or goodwill, arising out of or in connection with your use of the Website or services, even if we have been advised of the possibility of such damages.

Our total liability to you for any claims arising from or related to these Terms or your use of the Website or services shall not exceed the total amount you have paid to Vital Reset in the twelve (12) months immediately preceding the claim.

12. Indemnification

You agree to indemnify, defend, and hold harmless Vital Reset Ltd. and its directors, officers, employees, agents, and affiliates from and against any and all claims, liabilities, damages, losses, costs, and expenses (including reasonable legal fees) arising out of or in connection with your breach of these Terms, your use of the Website or services, or your violation of any law or the rights of any third party.

13. Termination

We reserve the right to suspend or terminate your account and access to the Website and services, in whole or in part, at any time and for any reason, including but not limited to breach of these Terms, without prior notice or liability. Upon termination, your right to use the Website and access purchased content will cease immediately, and you will not be entitled to any refund.

14. Governing Law and Dispute Resolution

These Terms shall be governed by and construed in accordance with the laws of the Province of Alberta and the federal laws of Canada applicable therein, without regard to conflict of law principles. Any disputes arising out of or relating to these Terms or your use of the Website or services shall be subject to the exclusive jurisdiction of the courts of the Province of Alberta, and you hereby consent to the personal jurisdiction of such courts.

16. Severability
